Partner Advertising Terms & Conditions

Effective Date: 1st September 2025
Last Updated: 5th August 2025

These Advertising Terms and Conditions (“Terms”) govern the provision of advertising, promotional, and subscription-based services by School Scout Ltd (“School Scout”, “we”, “us”, “our” or “the Platform”) to any subscribing or participating school, organisation, or entity (“Partner”, “School Partner”, or “you”) that purchases or receives such services from School Scout.

By purchasing or accessing any School Scout Partner Services, you agree to be bound by these Terms.

These Advertising Terms apply in addition to the School Partner Terms and Conditions, which govern your general use of the Platform. Together, both documents form the agreement between you and School Scout. If there is any inconsistency between the two, these Advertising Terms shall prevail in relation to advertising, promotional, subscription, or paid services.

1. School Partner Advertising Services

School Scout provides a range of advertising and marketing services to Schools Partners. These services may include, but are not limited to:

  • Enhanced school profile listings;
  • General and open day enquiry forms;
  • School Scout ID: insights and data reports;
  • Display advertising (e.g. banner, sidebar, or feature blocks);
  • Enhanced visibility and prioritisation within search results;
  • Targeted email marketing to platform users.

The specific services provided to each Partner will be as set out in the Partner’s selected plan or package and are subject to availability. Full service descriptions, inclusions, and pricing can be found at www.schoolscout.uk/partner.

2. Bookings, Payment & Renewal

2.1 Fees and Invoicing
All advertising and subscription fees are payable in advance and will be billed on either a monthly or annual basis, depending on the billing cycle selected at the time of subscription. All amounts collected each month will be accompanied by an invoice.

2.2 Renewals
Subscriptions renew automatically at the end of each billing cycle (monthly or annual).

2.3 Late Payment
School Scout reserves the right to pause, suspend, or permanently remove School Partner services in the event of non-payment, declined transactions, or overdue invoices. Access to performance reporting and visibility features may be temporarily withheld until payment is received.

2.4 VAT
All prices quoted are exclusive of VAT, unless expressly stated otherwise.

3. School Partner Content Responsibilities

School Partners are solely responsible for the accuracy, legality, and appropriateness of all content submitted to School Scout for advertising or promotional use. They warrant that:

  • All information provided is accurate, up-to-date, and not misleading;
  • Content complies with applicable advertising laws and industry standards;
  • Materials do not infringe third-party intellectual property or other legal rights;
  • Offers and statements reflect the actual educational services provided by the school.

School Scout reserves the right to review, reject, edit, or remove any artner-submitted content, at our sole discretion, if it is deemed inaccurate, unlawful, harmful, offensive, misleading, or otherwise unsuitable for the platform.

4. Performance, Reporting and Service Levels

4.1 Analytics and Reporting
School Scout provides performance metrics to School Partners, including (but not limited to) impressions, click-throughs, enquiry volumes, and user engagement metrics.

4.2 No Guarantee of Results
Unless expressly agreed in writing, School Scout does not guarantee a specific volume of website traffic, enquiries, enrolments, or conversions as a result of advertising or promotional activity on the Platform.

5. Termination and Cancellation

5.1 Partner-Initiated Termination
School Partners may terminate their advertising subscription at the end of their billing cycle by providing a minimum of 30 days’ written notice prior to the renewal date. Cancellations will take effect at the end of the billing cycle following the expiry of the notice period. All fees are non-refundable, and no partial refunds will be issued for unused periods of a billing cycle.

5.2 Termination by School Scout
School Scout reserves the right to terminate or suspend a Partner’s access to services at any time in the event of:

  • Breach of these Terms;
  • Non-payment of fees;
  • Submission of unlawful, offensive, or misleading content;
  • Misuse of the platform or service features.

Termination does not affect the right to collect outstanding fees up to the end of the current term.

6. Refund Policy

No refunds shall be issued for partially used subscription periods or campaigns, except if School Scout’s platform becomes wholly inaccessible or non-functional for more than seven (7) consecutive business days, due to technical failure within our reasonable control. In such instances, a pro-rata refund or credit may be offered at our sole discretion.

7. Intellectual Property and Usage Rights

The School Partner grants School Scout a non-exclusive, royalty-free, worldwide licence to:

  • Use and display the School Partner’s name, logo, and promotional materials;
  • Feature school content within the Platform, associated marketing communications, and public promotional materials (including social media, email, and presentations);
  • Use Partner-provided materials for the duration of the advertising term.

8. Limitation of Liability

To the fullest extent permitted by law:

  • School Scout’s total liability to any Partner for any claim, loss, or damage arising under these Terms shall be limited to the total amount paid by the Partner in the three (3) months preceding the event giving rise to the claim;
  • School Scout shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of revenue, anticipated profits, goodwill, or data.

This limitation does not apply to liability arising from fraud, wilful misconduct, or death or personal injury caused by negligence.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
